The short version

  • PrintWisp gives your store a white-label product designer, print-ready files, and optionally a hosted store with cart and checkout.
  • You pay a monthly plan plus a percentage of designer sales that falls as your sales grow. Test orders are never charged.
  • When PrintWisp takes the payment (a PrintWisp Store or PrintWisp checkout) you are the seller: shoppers pay your Stripe account, and our fee comes out of each payment.
  • You own your products and content; shoppers own their photos. We use them only to run the service.
  • You can cancel any time. We give 30 days' notice of price or material changes.

The short version helps you read the full text; the full text is what applies.

1. Definitions

Service
PrintWisp's product designer, portal, print-file production, API, plugins and, if you choose it, the PrintWisp Store.
Organisation
Your business on PrintWisp, with its catalogue, users and billing.
Store
One place you sell: a PrintWisp Store, a connected shop or your own website. Any number per organisation.
Shopper
A person who designs or buys a product in your shop or your PrintWisp Store.
Designer sale
The value of an order line for a product a shopper personalised in the designer, as paid at checkout, excluding shipping.
PrintWisp Store
The hosted storefront, cart and checkout at your-name.printwisp.com. A Store is reached at its PrintWisp address (your-name.printwisp.com) and at any domain you connect to it. You must own or have the right to use any domain you connect; you keep it registered and its DNS records in place, and we may stop serving a domain that no longer points to PrintWisp or whose ownership record has been removed.
Your Content
Everything you or your shoppers put into the Service: products, images, layouts, fonts, branding, photos and designs.
Test mode
How an organisation starts, with test keys and test orders. Nothing in test mode is charged.

2. The service

In short What PrintWisp does, and how you can use it.

You can use the designer embedded in your own online shop (through our plugin or the API), through a PrintWisp Store, or both, and you add each one under Stores. We may improve, change or add features. If we remove a feature you rely on, we will tell you beforehand where we reasonably can.

Integrations with third-party platforms (for example WooCommerce or Stripe) are also governed by those platforms' own terms, and we are not responsible for changes they make.

3. Your account

In short Keep your details accurate and your login safe.

You must be a business or sole trader, at least 18, and give accurate details. You are responsible for everyone who uses your account, for API keys you create, and for keeping passwords and keys secret. Tell us at hello@printwisp.com straight away if you think your account or keys have been misused. You may invite managers and staff; only an owner controls billing, payments, users and API keys.

4. Trial, test mode and going live

In short Try everything free; fees start only when you go live.

Every plan starts with a 30-day free trial, with no card needed to start. A new organisation runs in test mode, where you can set up products and stores and place test orders. Nothing done in test mode is charged. To take real orders you go live with a card and Stripe, then open each store. If you have not added a card by the end of the trial, your account is paused: nothing is deleted, and adding a card switches it back on.

Billed through Shopify. If you use PrintWisp through its Shopify app, no card or Stripe account is needed: your organisation goes live when you approve a plan on a live (non-development) Shopify store. Development stores stay in test mode.

5. Plans, fees and payment

In short A monthly plan plus a falling percentage of designer sales.

  • Plan price. Charged monthly in advance to your card on file. Current plans and prices are on the pricing page.
  • Billed through Shopify. If you use PrintWisp through its Shopify app, your plan and designer-sales fees are billed by Shopify on your Shopify bill instead of to a card: in US dollars at the day's exchange rate, and capped per 30 days at the limit you approve in Shopify. No card or Stripe account is needed.
  • Designer-sales fee. A percentage of each designer sale. The rate steps down in bands by your designer sales in the calendar month; a sale that crosses a band is split across it.
  • Embedded in your shop. Fees accrue as orders are reported and are charged to your card when they reach your threshold, or at the end of the month.
  • PrintWisp Store or PrintWisp checkout. Our fee is deducted from each shopper payment at the time of sale through Stripe. It is never charged to your card a second time.
  • Taxes. Our prices include GST where it applies. Stripe sends a tax invoice for every charge to your billing email.
  • Changes. We give at least 30 days' notice of a price increase. You can change plans from Billing at any time; moving up takes effect straight away and is pro-rated.
  • Failed payments. We retry and tell you. If an amount stays unpaid for 14 days we may pause live features until it is paid.
  • Refunds of our fees. Plan fees are not refunded for part of a month. If a shopper is refunded, the designer-sales fee is not credited back. Fees charged in error are refunded.
  • Disputes. Raise a billing question within 60 days of the charge and we will look at it in good faith.

6. Selling through a PrintWisp Store

In short You are the seller, with the seller's responsibilities.

When you sell through a PrintWisp Store, your shoppers buy from you, not from PrintWisp. You are responsible for your products, prices, descriptions, delivery, returns, refunds, warranties and customer service, and for complying with the law that applies to your sales, including the Australian Consumer Law and product safety rules. You must show accurate business and contact details and a returns policy.

Payments are processed by Stripe through your own Stripe account. You agree to Stripe's terms, including its connected-account agreement. Payouts, chargebacks and payment disputes are between you, Stripe and your shoppers. You authorise us to deduct our fee from each payment.

7. Shoppers' data

In short We handle shoppers' data for you, on your instructions.

For shoppers' personal information (for example names, emails, delivery addresses, photos and designs), you decide why it is collected and we handle it on your behalf to run the Service. We will:

  • use it only to provide the Service and as you instruct through it;
  • keep it confidential and limit access to people who need it;
  • protect it with reasonable security measures;
  • use only the service providers listed in our Privacy Policy, and tell you before we add a new one that handles shoppers' data;
  • tell you without undue delay if we become aware of a breach affecting it, and help you meet your notification duties;
  • help you answer shoppers' requests to access, correct or delete their information; and
  • delete it on the schedule you set under Retention policy, or when your account closes.

You are responsible for having a lawful basis and a privacy policy for collecting it from your shoppers.

8. Your content and licences

In short You keep your rights; we get only what we need to run the Service.

You keep all rights in Your Content, and shoppers keep the rights in the photos they upload. You give us a non-exclusive, worldwide licence to host, copy, process and display Your Content only as needed to provide the Service. That covers showing the designer, producing print files and previews, and keeping projects. The licence ends when the content is deleted. We do not sell Your Content or use it in our marketing without your permission.

You confirm you have the rights to everything you upload, including font licences that allow use in a web designer and in print files, and that it does not infringe anyone's rights. If you send us feedback, we may use it without obligation to you.

9. Our intellectual property

In short The software is ours; the white label is yours.

We own the Service, its software and its design. We give you a non-exclusive, non-transferable right to use it during your subscription. Every plan is white-label: you may present the designer and PrintWisp Store under your own brand, and we do not show PrintWisp branding to your shoppers. You may not copy, reverse engineer, resell or build a competing product from the Service, except as the law allows.

10. Acceptable use

In short Nothing unlawful, harmful or abusive.

You must not use the Service to create, sell or print anything that is unlawful, infringes others' rights, is defamatory, hateful or violent, or sexualises minors. You must not try to breach its security or access other stores' data, overload it or get around its limits, send spam, or resell access without our written agreement. API use must stay within reasonable limits we may publish.

11. Suspension

In short We may pause a store to stop harm, and will say why.

We may suspend all or part of a store if it breaches these terms, puts other users or the Service at risk, or leaves fees unpaid as described above. Where we can, we will warn you first and give you a chance to fix the problem. We restore the store once it is resolved.

12. Availability and support

In short We aim high but cannot promise zero downtime.

We work to keep the Service available and your data backed up, and schedule maintenance to limit disruption. We do not promise the Service will be uninterrupted or error-free. Support is by email at hello@printwisp.com. Any service levels for Enterprise plans are set out in your contract.

13. Ending the agreement

In short Cancel any time; take your order files with you.

You can cancel at any time from Billing or by email. Your plan runs to the end of the month already paid, and fees for orders already placed stay payable. We may end the agreement with 30 days' notice, or straight away if you materially breach these terms and do not fix it within 14 days of notice.

Before your account closes you can ask us to export your order files and product settings. After closing, Your Content is deleted within 30 days, except where we must keep records by law. Sections that by their nature should survive (fees owed, liability, indemnity, law) continue after the agreement ends.

14. Confidentiality

In short Private information stays private, both ways.

Each of us will keep the other's non-public business information confidential and use it only for this agreement, except where it is already public, independently developed, or must be disclosed by law.

15. Warranties and disclaimers

In short What we promise, and what we cannot.

We will provide the Service with due care and skill. Apart from that, and from any guarantees that cannot be excluded under the Australian Consumer Law, the Service is provided "as is". We do not guarantee that print files will suit every printer or material. You are responsible for checking proofs, sizes and print files before production.

16. Limits of liability

In short Our liability is capped, except where the law says otherwise.

Nothing in these terms excludes, restricts or modifies rights you have under the Australian Consumer Law that cannot be excluded. Where our liability for failing to meet a consumer guarantee can be limited, it is limited to supplying the service again or paying for it to be supplied again.

To the extent the law allows, neither of us is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data. Our total liability arising from this agreement in any 12 months is limited to the fees you paid us in those 12 months. These limits do not apply to your obligation to pay fees, or to either party's fraud or wilful misconduct.

17. Indemnity

In short You stand behind what you sell and upload.

You indemnify us against claims, losses and costs arising from Your Content, the products you sell, your dealings with your shoppers, or your breach of these terms or the law, except to the extent we caused them.

18. General

In short The usual fine print.

  • Changes to these terms. We may update these terms. For material changes we will email you at least 30 days before they take effect. If you do not agree, you may cancel before then.
  • Force majeure. Neither of us is liable for delays caused by events beyond reasonable control.
  • Notices. We send notices to your account email; you send them to hello@printwisp.com.
  • Assignment. You may not transfer this agreement without our consent. We may transfer it to a successor of our business, with notice.
  • Entire agreement. These terms, the pricing page and any order form are the whole agreement. If a term is unenforceable, the rest still applies, and not enforcing a term is not a waiver.
  • Governing law. The laws of Victoria, Australia, apply, and its courts have jurisdiction.
